These Referral Program Terms & Conditions outline how the Clip Collective Referral Program works for participating wedding vendors, creatives, planners, coordinators, couples, influencers, and other approved referrers.
By joining the Clip Collective Referral Program, you agree to the terms below.
1. Referral Program Overview
Clip Collective allows approved referrers to share a unique referral code with couples.
When a couple books Clip Collective using a valid referral code, the couple may receive a discount on their booking, and the referrer may be eligible to receive a referral payout.
Participation in the Referral Program is optional and does not create an employment, agency, franchise, joint venture, or legal partnership relationship between the referrer and Clip Collective. Referrers participate as independent contractors and are solely responsible for their own business operations, taxes, and legal obligations.
2. Referral Codes and Acceptable Use
Each approved referrer may receive a unique referral code created by Clip Collective.
Referral codes may be shared with current clients, prospective clients, friends, family members, social media audiences, or other couples who may be interested in booking Clip Collective.
Prohibited uses of referral codes include, but are not limited to:
- Using a referral code on the referrer's own Clip Collective booking (self-referral)
- Selling, leasing, or transferring a referral code to any third party
- Posting a referral code on public coupon sites, deal aggregators, discount forums, or similar platforms in a way that misrepresents Clip Collective or its offers
- Using a referral code in any manner that is fraudulent, misleading, spammy, or inconsistent with Clip Collective's brand
- Combining a referral code with any other discount, promotion, or coupon offered by Clip Collective
- Misrepresenting the value, terms, or nature of the referral code or Clip Collective's services
Clip Collective reserves the right to modify, pause, or deactivate any referral code at any time if misuse, fraud, abuse, or brand misrepresentation is suspected.
3. Couple Discount
Couples who book Clip Collective using a valid referral code may receive $50 off their Clip Collective booking.
Discounts are subject to availability and may not be combined with other promotions, codes, or offers unless specifically approved by Clip Collective in writing.
Clip Collective may update, modify, or discontinue discount offers at any time.
4. Referral Payouts and Performance Tiers
Referrers are eligible to receive a referral payout for each confirmed booking made through their unique referral code. Payout amounts are determined by the referrer's performance tier, based on the cumulative number of confirmed bookings attributed to their referral code.
Performance tiers:
| Tier | Confirmed Bookings | Payout Per Booking |
|---|---|---|
| Tier 1 | 1 to 9 | $50 |
| Tier 2 | 10 to 49 | $75 |
| Tier 3 | 50 or more | $100 |
Tier rules:
- Tier upgrades take effect on the confirmed booking that meets the new threshold. For example, the 10th confirmed booking is paid at $75, and the 50th confirmed booking is paid at $100.
- Tiers are lifetime and do not reset annually.
- If a confirmed booking is later refunded, canceled, charged back, or otherwise invalidated, it will be removed from the referrer's tier count. If this causes the referrer to fall below a tier threshold, future bookings will be paid at the lower tier rate until the threshold is re-crossed.
- Tier downgrades do not retroactively reduce payouts on previously paid bookings, though clawback may still apply to the individual invalidated booking under Section 5.
Referral payouts are calculated based on confirmed bookings associated with the referrer's unique code and are subject to the conditions and clawback provisions described in Section 5.
Clip Collective may offer custom payout arrangements to select referrers, including influencers, creators, or high-volume partners, at its sole discretion. Any such arrangements will be communicated directly to the referrer in writing and may supersede the standard tier structure.
5. Confirmed Bookings, Refunds, and Clawback
A booking is considered confirmed when the couple has completed checkout and payment has been successfully received by Clip Collective.
Conditions that may void or reduce a referral payout include:
- The booking is refunded, in full or in part
- The booking is canceled by the couple
- The booking is disputed by the couple
- The booking results in a chargeback
- The booking is determined to be fraudulent, duplicate, or otherwise invalid
- The referral code was used in violation of Section 2
Clawback mechanics:
If a referral payout has already been sent for a booking that is later refunded, disputed, charged back, canceled, or determined to be invalid, Clip Collective may recover that payout through any of the following methods, at its sole discretion:
- Deduction from the referrer's next scheduled payout
- Deduction from future payouts until the full amount is recovered
- Direct invoicing of the referrer if no future payouts are anticipated or available
Clawback window:
Due to the long booking-to-event timeline common in the wedding industry, Clip Collective reserves the right to initiate clawback for a period of up to 540 days (18 months) following the date the referral payout was issued. After 540 days, payouts are considered final except in cases of fraud, abuse, or violation of these terms, in which case clawback rights remain indefinite.
Negative balance:
Clip Collective will first attempt to recover clawback amounts through deductions from future payouts. If, after applying available future payout offsets, a referrer's outstanding negative balance remains under $150, Clip Collective will absorb the difference and the referrer will not be required to reimburse. This reflects Clip Collective's recognition that legitimate wedding cancellations and refunds can happen for reasons outside the referrer's control.
If the outstanding negative balance reaches or exceeds $150, the referrer agrees to reimburse Clip Collective for the full outstanding amount within 30 days of receiving written notice.
The $150 threshold does not apply in cases of confirmed fraud, abuse, self-referral, or other violation of these terms. In such cases, Clip Collective is entitled to recover the full outstanding amount regardless of size.
6. Payout Timing and Method
Referral payouts are sent via Venmo on the 1st of each month.
Bookings confirmed during a calendar month are generally paid out on the 1st of the following month. For example, eligible bookings confirmed in May would typically be paid on June 1.
To receive payouts, referrers must provide a valid Venmo handle. Payouts are held until a Venmo handle has been provided.
Referrers are responsible for providing accurate payout information. Clip Collective is not responsible for delayed or failed payouts caused by an incorrect or missing Venmo handle.
Clip Collective may, at its discretion, change the payout method, frequency, or platform with reasonable notice to active referrers.
7. Taxes and Required Documentation
Referrers are responsible for any taxes, reporting, or obligations related to referral payouts they receive.
Tax information:
Referrers must provide accurate and complete tax information to Clip Collective upon request in order to receive payouts.
If a referrer's cumulative payouts in a calendar year reach $600 or more, a Form 1099-NEC will be issued to the referrer and the IRS for that tax year, as required by law.
Payouts will be held until all required tax and identity information has been provided. Unclaimed payouts may be forfeited after 12 months of being held.
Referrers are responsible for the accuracy of all tax information they provide.
8. Referrer Dashboard
Approved referrers may receive access to a dashboard where they can view bookings associated with their referral code, current performance tier, progress toward the next tier, and estimated payout activity.
Dashboard information is provided for convenience and may be subject to review, adjustment, or verification by Clip Collective.
If there is a discrepancy between dashboard activity and Clip Collective's payment records, Clip Collective's internal booking and payment records will control.
9. Referrer Responsibilities
Referrers agree to represent Clip Collective honestly and accurately.
Referrers shall not make guarantees about Clip Collective services, pricing, delivery timelines, discounts, or product features beyond what Clip Collective has provided or publicly stated.
Referrers shall not present themselves as employees, owners, agents, or official representatives of Clip Collective unless specifically authorized in writing.
Referrers are responsible for communicating in a way that is professional, lawful, and respectful, and for complying with all applicable laws including the CAN-SPAM Act, anti-spam regulations, and any other legal requirements relevant to the referrer's promotional activities.
10. Marketing, Brand Use, and Required Disclosures
Referrers may mention Clip Collective and share their referral code.
Referrers may not use Clip Collective's name, logo, brand assets, screenshots, or marketing materials in a misleading, altered, or inappropriate way.
Clip Collective may provide approved language, graphics, or materials for referrers to use. Referrers should use those materials as provided unless otherwise approved.
FTC disclosure requirement:
When promoting Clip Collective in any public-facing channel, including social media posts, blog content, email newsletters, video content, or other marketing materials, referrers are required to clearly and conspicuously disclose their referral relationship with Clip Collective in accordance with Federal Trade Commission guidelines.
Acceptable disclosure examples include:
- “I'm a Clip Collective referrer and may earn a commission when couples book using my code.”
- “#ClipCollectivePartner” or “#ad” used clearly within social posts
- A brief statement in email, video description, or blog content noting the referral relationship
This disclosure requirement applies most directly to vendors, creators, influencers, and business referrers promoting Clip Collective as part of their professional activities. Casual one-to-one sharing of a code with friends or family does not typically require formal disclosure.
Failure to provide clear and conspicuous disclosures when required may result in immediate termination from the Referral Program.
11. Platform Contributions and Visibility
If a referrer contributes content to a couple's Clip Collective feed, the referrer's name may be visible to guests or other users within that event experience.
Referrers are responsible for ensuring any content they upload or contribute is appropriate, accurate, and does not violate any third-party rights, including copyright, trademark, or personality rights.
Clip Collective reserves the right to remove content that is inappropriate, infringing, misleading, or inconsistent with the platform experience.
12. Confidentiality
In the course of participating in the Referral Program, referrers may receive access to non-public information about Clip Collective, including pricing strategy, product roadmap, internal performance metrics, referral program structure, and business plans.
Referrers agree to keep all non-public information confidential and not to disclose, share, or use such information for any purpose other than participating in the Referral Program.
This confidentiality obligation survives termination of the referrer's participation in the program.
13. Indemnification
Referrers agree to indemnify, defend, and hold harmless Clip Collective, its officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, or expenses (including reasonable attorney's fees) arising out of or related to:
- The referrer's representations, statements, or marketing activities regarding Clip Collective
- The referrer's violation of these terms
- The referrer's violation of any law, regulation, or third-party right
- Content uploaded or contributed by the referrer to the Clip Collective platform
14. Non-Disparagement
During the referrer's participation in the Referral Program and for a period of 12 months after termination, the referrer agrees not to make any public statements, including on social media, review platforms, or in any other public forum, that disparage, defame, or damage the reputation of Clip Collective, its founders, employees, products, or services.
This provision does not prohibit truthful statements made in connection with legal proceedings, regulatory inquiries, or responses to direct customer complaints when made in good faith.
15. Limitation of Liability
To the maximum extent permitted by law, Clip Collective shall not be liable to any referrer for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or business opportunity, arising out of or related to participation in the Referral Program.
Clip Collective's total liability to any referrer under these terms shall not exceed the total amount of referral payouts paid to that referrer in the 12 months preceding the event giving rise to the claim.
16. Program Changes
Clip Collective may update, modify, pause, or end the Referral Program, discount structure, payout amounts, tier thresholds, bonus offers, dashboard access, or these terms at any time.
If material changes are made, Clip Collective will make reasonable efforts to notify active referrers by email or through the referrer dashboard.
Continued participation in the Referral Program after updates means the referrer accepts the updated terms.
17. Termination
Referrers may stop participating in the Referral Program at any time by providing written notice to hello@clipcollective.com.
Clip Collective may remove a referrer from the Referral Program at any time, with or without notice, for misuse, fraud, brand misrepresentation, inappropriate conduct, violation of these terms, or any other reason determined by Clip Collective in its sole discretion.
Upon termination:
- Eligible unpaid referral payouts earned for confirmed bookings before termination may still be paid out according to the standard payout schedule, subject to the clawback provisions in Section 5.
- Payouts associated with fraud, misuse, brand misrepresentation, refunds, chargebacks, disputes, or any violation of these terms will be forfeited.
- The confidentiality and non-disparagement obligations in Sections 12 and 14 survive termination.
- The referrer must immediately cease use of all Clip Collective brand assets and referral codes.
18. Governing Law and Dispute Resolution
These terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws principles.
Any dispute arising out of or related to these terms or the Referral Program shall first be addressed through good-faith negotiation between the referrer and Clip Collective.
If the dispute cannot be resolved through negotiation within 30 days, both parties agree to resolve the dispute through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Shelby County, Tennessee.
Each party waives any right to a jury trial or to participate in a class action against the other.
19. Entire Agreement
These Referral Program Terms & Conditions constitute the entire agreement between the referrer and Clip Collective regarding participation in the Referral Program and supersede any prior agreements, representations, or understandings, whether written or oral.
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
